Kew Health & Beauty Limited
Website Terms of Use
1. About us and these Terms
1.1 This website (the “Website”) is operated by Kew Health & Beauty Limited (“Kew”, “we”, “us” or “our”), a company registered in England and Wales under company number 05007380, whose registered office is 29A Crown Street, Brentwood, Essex CM14 4BA. Our business contact address is New Abbey Court, 51–53 Stert Street, Abingdon, Oxfordshire OX14 3JF.
1.2 These Terms govern access to and use of the Website, including submitting enquiries through its contact forms. By using the Website, you agree to these Terms. If you do not agree, please do not use it.
1.3 The Website is intended principally for business and professional visitors, not for consumer purchases or online sales. Nothing on the Website constitutes an offer to supply products or services.
2. Separate commercial agreements
2.1 Website content, exchanges through the Website and acknowledgement of an enquiry do not constitute an agreement to manufacture, develop, source, test, pack or supply any product or service, nor a guarantee of capacity, price, timescale or regulatory outcome.
2.2 Any commercial project, quotation, order, supply or purchase is governed only by the separate terms expressly agreed for that transaction. These Website Terms do not replace, incorporate, vary or override Kew’s terms and conditions of sale or purchase, a signed agreement, technical agreement or non-disclosure agreement.
2.3 Only an expressly authorised representative of Kew may commit Kew contractually. Submission of a form, email correspondence, an estimate or discussion does not itself create a binding contract.
3. Website information and regulatory matters
3.1 Information is provided for general business information only and may be incomplete, illustrative, out of date, contain errors, or subject to change without notice. Product descriptions, illustrations, claims, capabilities, technical statements and indicative project information are not contractual specifications or warranties.
3.2 Kew works with third-party specialist suppliers and manufacturing partners; Website content should not be understood as stating that Kew manufactures every product at its own premises.
3.3 Any project, product, ingredient, formulation, packaging, claim or intended market remains subject to assessment of its technical feasibility, applicable laws, regulatory classification, approvals and commercial terms. No statement on the Website constitutes regulatory, medical, safety, legal or other professional advice.
3.4 You should obtain appropriate independent advice and written project-specific confirmation before making commercial or regulatory decisions based on Website content.
3.5 Images, graphics, photographs, illustrations, visualisations, mock-ups, videos and other visual materials appearing on the Website may be digitally created, edited, enhanced, simulated or generated in whole or in part using artificial intelligence (AI) or other computer-assisted technologies. Such materials may depict hypothetical premises, facilities, equipment, personnel, products, manufacturing processes or scenarios rather than actual locations, people, activities or assets of Kew or its partners.
3.6 All text, images, diagrams, examples, case studies, descriptions and other Website content are presented for general information and illustrative purposes only. They must not be relied upon as an exhaustive, definitive or binding description of Kew’s business, facilities, operations, services, technical capabilities, product range, personnel, supply arrangements or the manner in which any particular project will be undertaken. The inclusion of any image, service description, product concept or example does not represent or warrant that Kew itself owns or operates depicted facilities or equipment, carries out the depicted activity directly, offers that particular service or product, or can meet any particular specification, volume, timetable or regulatory requirement.
3.7 The precise scope, feasibility, responsibility, regulatory position, availability, pricing and other conditions of any proposed goods or services must be established by separate written project-specific arrangements. No Website content, including AI-generated or illustrative content, forms part of a commercial contract unless expressly incorporated into that contract in writing.
4. Acceptable use and security
4.1 You may use the Website only for lawful purposes. You must not interfere with its operation or security; introduce malicious code; attempt unauthorised access; misrepresent your identity; harvest information by automated means without permission; or use the Website to transmit unlawful, misleading, defamatory, infringing or otherwise harmful material.
4.2 Except as permitted by applicable law or expressly authorised in writing by Kew, you must not use robots, spiders, automated agents, scraping, data-mining or extraction systems to systematically access, collect, reproduce or republish Website content; use Website materials to create or enrich commercial datasets or train or develop artificial intelligence systems; mirror or frame the Website; or exploit Website content to impersonate Kew, create misleading associations or compete unlawfully with its legitimate business interests. Ordinary authorised search-engine indexing is not prohibited.
4.3 We may suspend, restrict or block access where reasonably necessary to protect the Website, our business, other visitors or compliance with law.
4.4 You must not impersonate another person or organisation, make fraudulent or misleading enquiries, harvest other users’ personal data, place an unreasonable technical burden on the Website, attempt to bypass access controls, or use the Website to transmit unsolicited promotions, unlawful material or code designed to disrupt systems. Kew may investigate suspected misuse, preserve appropriate evidence and report unlawful activity to competent authorities, in accordance with applicable law.
4.5 Where lawful and reasonably necessary, Kew may investigate suspected fraud, cybercrime, attempted unauthorised access, malicious submissions, misuse of the Website or other suspected unlawful acts; restrict access; preserve relevant submissions, communications, IP addresses, security and access logs and other evidence; and disclose relevant information to law-enforcement agencies, regulators, courts, professional advisers, cybersecurity specialists or other appropriate authorities and recipients. We may cooperate with lawful investigations and requests and may make voluntary reports where there is a lawful basis. Any handling or disclosure of personal data will remain subject to applicable data-protection law, including necessity and proportionality requirements, and our Privacy Policy. Kew is not obliged to notify a person of an investigation or disclosure in advance where notification is not legally required or would lawfully prejudice an investigation.
5. Intellectual property
5.1 Unless otherwise stated, the Website and its text, designs, graphics, photographs, logos, trade marks, product concepts, layout and other content are owned by or licensed to Kew or relevant rights holders and protected by intellectual property laws.
5.2 You may view and print reasonable extracts solely for internal evaluation of Kew’s services, provided that you do not alter the material, remove rights notices or use it for competing commercial exploitation. No intellectual property licence or assignment is granted except this limited permission.
5.3 Product names, images and third-party trade marks remain the property of their respective owners; their inclusion does not imply endorsement or a commercial relationship unless expressly stated.
5.4 Subject to these Terms, Kew grants visitors a limited, non-exclusive, revocable, non-transferable licence to access the Website and review its contents for lawful personal information or genuine business evaluation. No ownership or other intellectual property rights are transferred by access to the Website. All rights not expressly granted are reserved.
5.5 Users must not remove or alter copyright notices, trade marks, attribution or other proprietary identifiers, create unauthorised derivative works, or present Kew’s content as their own. Restrictions in this section are subject to applicable statutory exceptions.
6. Enquiries, information and confidentiality
6.1 You are responsible for ensuring that information you submit is accurate, lawful and that you are entitled to disclose it. Do not submit special category personal data, medical records or highly sensitive commercial plans or formulations or third-party information through a general enquiry form unless Kew has expressly agreed an appropriate secure method.
6.2 Enquiries may be submitted using a third-party form service and routed to Kew by email. We cannot guarantee that ordinary internet communications or email are completely secure. Personal information is handled as described in our separate Privacy Notice.
6.3 Kew recognises the importance of customer confidentiality. However, the Website and a general enquiry form are not, by themselves, a signed non-disclosure agreement. If a proposed project involves proprietary formulas, unpublished technical data, commercially sensitive customer information or other valuable confidential material, request an NDA and agreed disclosure method before sending it.
6.4 Nothing in these Terms assigns ownership of your pre-existing intellectual property to Kew. Submission of an enquiry grants Kew permission to use the information for considering and responding to that enquiry and related internal assessment, subject to applicable law and any separately binding confidentiality obligations.
6.5 We may decline or discontinue discussions or enquiries at our discretion, without obligation to provide a quotation or undertake a project.
6.6 The Website and its associated services may be hosted, operated, developed, maintained, monitored, secured or supported by authorised third-party service providers, including website hosts, developers, technical support providers and online form-processing services. Such providers may access or process information submitted through the Website where necessary to perform their services and subject to applicable legal, contractual, confidentiality and data-protection obligations.
6.7 No online transmission, email, internet-based service or electronic system can be guaranteed to be completely secure or free from interception, unauthorised access, loss, corruption or technical failure. Visitors should exercise discretion and must not send confidential formulations, trade secrets, unpublished intellectual property, sensitive technical records, financial credentials or other sensitive, security or time-critical information through a general enquiry form unless Kew has expressly requested it and suitable transmission arrangements have been agreed. Visitors should contact Kew first where enhanced confidentiality or security is required.
6.8 Kew does not invite confidential formulations, trade secrets, unpublished inventions, proprietary product concepts or other sensitive information through its general Website facilities. Unless otherwise agreed in writing, sending an enquiry, proposal or other unsolicited submission does not by itself create a duty of confidence, fiduciary duty, exclusivity, development obligation or obligation to assess, respond to, use or remunerate the sender.
6.9 Kew may already possess, independently develop, commission, receive from another lawful source or subsequently develop products, ideas, concepts, methods or services similar to those described in a submission. Mere receipt of a submission does not restrict those independently developed or lawfully acquired activities. Kew shall not use another party’s protected intellectual property or confidential information unlawfully.
6.10 Unless separately agreed in writing, the sender retains intellectual property rights it lawfully owns. By submitting material, the sender grants Kew a non-exclusive, royalty-free permission to receive, retain, reproduce internally, review and share the material with authorised personnel and service providers as reasonably necessary to handle the enquiry or consider a possible commercial relationship, subject to applicable confidentiality and data-protection obligations. No general assignment of the sender’s intellectual property is created.
6.11 By submitting material, the sender confirms, to the extent reasonably within its knowledge and control, that it has the necessary authority and rights to provide that material, that the submission is lawful and not misleading, and that submitting it does not breach duties owed to another person. Kew may decline to review, reject, remove or delete inappropriate or unsolicited material, subject to retention requirements and applicable law.
6.12 Any exchange of detailed confidential project specifications, original formulas, inventions or commercially sensitive documents should take place only after the parties have agreed an appropriate method of transmission and, where required, a separate confidentiality agreement.
7. Third-party sites and availability
7.1 The Website may contain links, integrations or content provided by third parties. We do not control them or accept responsibility for their availability, accuracy, content, privacy, security or terms. Their own policies may apply.
7.2 We aim to keep the Website available and accurate but do not guarantee uninterrupted access, error-free operation, that defects will be corrected, or that the Website or servers are free from harmful components. We may change, suspend or withdraw any Website feature or content without notice.
7.3 Kew does not warrant that the Website, enquiry forms or associated content or functions will be continuously available, uninterrupted, secure, free from errors or technical defects, or capable of meeting any particular requirement. Kew may suspend, withdraw, restrict, change or discontinue access to all or part of the Website at any time, including for maintenance, upgrades, cybersecurity, hosting, technical, legal or operational reasons, without prior notice.
7.4 Enquiries, messages, attachments and other electronic communications may be delayed, misdirected, interrupted, lost or not received. Submission of an enquiry does not guarantee receipt, review, acknowledgment or response by Kew. To the fullest extent permitted by law, Kew shall not be liable for loss, disruption, delay, missed opportunity or other damage arising from Website unavailability, interruption or communications failure, subject always to clause 8.4 and other mandatory legal rights.
7.5 The Website may incorporate or depend on third-party software, plugins, themes, scripts, code, application programming interfaces (APIs), content management systems, hosting infrastructure, security services, databases, form services, analytics, external integrations and other technologies. Kew does not warrant their availability, reliability, performance, security, compatibility or freedom from defects. Their providers may alter, suspend, withdraw, discontinue or stop supporting them without Kew’s knowledge or control. Kew may add, replace, disable or remove any such component at its discretion.
7.6 Although Kew may take reasonable security precautions, it does not guarantee that the Website, its servers, links, downloads, forms, messages, software or other components are completely secure or free from viruses, malware, ransomware, spyware, malicious code, harmful content, vulnerabilities, cyberattacks, interception or unauthorised interference. Visitors should maintain suitable security measures on their own devices, systems and networks. To the fullest extent permitted by law and subject to clause 8.4, Kew excludes liability for loss, damage, data corruption, interruption or other consequences arising from these risks or from third-party technology failures.
7.7 Kew may immediately suspend, isolate, restrict or disable any part of the Website, integration, account, submission facility or software component, without advance notice, where Kew considers it appropriate for cybersecurity, operational continuity, maintenance, legal compliance, investigation of misuse or protection of users, data or systems. Nothing in this clause excludes Kew’s obligations that cannot lawfully be excluded.
7.8 The Website may display or integrate third-party maps, videos, social media feeds, widgets, form services or other embedded content. Such providers may apply their own terms and privacy notices and, depending on the integration, may collect information or use cookies and similar technologies. Kew does not independently warrant embedded content or its continuing operation. Where applicable, Kew will address relevant third-party processing and consent requirements in its Privacy Notice, Cookie Policy and consent controls.
7.9 Kew shall not be responsible, to the fullest extent permitted by law, for delays or interruptions to Website functions caused by events beyond its reasonable control, including power, hosting, telecommunications or internet failures, cyberattacks, public emergencies and disruption to third-party technology. This provision does not relieve Kew of obligations or liability that cannot lawfully be excluded.
8. Exclusions and limitation of liability
8.1 To the fullest extent permitted by applicable law, Website content and functionality are provided “as is” and “as available”. Kew excludes all representations, conditions, warranties and obligations relating to the Website or reliance on its content that may lawfully be excluded.
8.2 To the fullest extent permitted by applicable law, Kew excludes liability arising out of or relating to the Website, its content, use or unavailability for any loss of profits, revenue, turnover, anticipated savings, business, contracts, customers, commercial opportunities, goodwill, reputation, anticipated benefits, productivity, or loss, corruption or unavailability of information or data, and for business interruption, operational disruption, and any indirect, consequential, incidental or special loss or damage. This exclusion applies to the listed categories whether they would otherwise be characterised as direct, indirect or consequential loss and whether a claim arises in contract, tort (including negligence), misrepresentation or otherwise. It includes claims arising from delayed or unsuccessful communications, third-party technology, malicious code, cybersecurity incidents, defective or inaccurate content, and inability to use the Website.
8.3 Without prejudice to clause 8.2, where liability relating solely to the Website survives the exclusions and may lawfully be limited, Kew’s total aggregate liability to any claimant for all claims arising out of or connected with Website access, operation, submissions, security, content or use shall not exceed £100 (one hundred pounds sterling). The cap is subject to clause 8.4, all applicable legal restrictions and any statutory right or remedy that cannot lawfully be restricted. It does not apply to liabilities arising under a separately agreed manufacturing, development, purchase, supply or other commercial contract.
8.4 Nothing in these Terms excludes or restricts liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. All exclusions and limitations apply only to the extent lawful.
8.5 No director, employee, shareholder, holding company or other group or associated company assumes a personal or separate contractual obligation merely because of its connection with Kew or this Website, without affecting any independently arising non-excludable liability.
8.6 Where a visitor accesses or uses the Website in the course of business, that visitor shall, to the fullest extent permitted by law, indemnify Kew and its associated companies and their officers and employees against reasonably incurred and legally recoverable third-party claims, liabilities, losses and costs arising directly from the visitor’s unlawful submissions, infringement of third-party rights, deliberate introduction of malicious code or deliberate material breach of the acceptable-use restrictions. The indemnity shall not apply to the extent attributable to Kew’s own negligence, breach or unlawful acts and remains subject to applicable law.
9. Privacy and cookies
9.1 Use of personal data collected through the Website is explained in Kew’s separate Privacy Notice. Cookies and similar technologies are covered by our separate Cookie Policy and any consent controls displayed on the Website.
9.2 Analytics tools, including Google Analytics if enabled, shall be addressed in the Privacy Notice, Cookie Policy and consent arrangements as appropriate.
9.3 Kew may, directly or through authorised service providers, collect and analyse technical, usage and interaction information, including without limitation IP addresses, browser and device type, operating system, approximate location derived from technical data, pages visited, referral sources, navigation, duration, interactions with Website content and enquiry submissions. Depending on the technologies lawfully deployed, this may also include information about organisations potentially associated with visits. Location estimates may be inaccurate and do not imply the collection of precise device location.
9.4 Where permitted by law, Kew may use such information to operate, protect and improve the Website; evaluate its performance; understand visitor and business interests; assess marketing effectiveness; identify potential business-to-business opportunities; generate prospective business leads; and undertake proportionate organisational or visitor profiling. Kew may use approved analytics, cookies, scripts, visitor identification and business intelligence services, subject to applicable privacy, marketing and device-storage/access rules.
9.5 These Terms are not consent to tracking, profiling or direct marketing. Where consent is required, Kew will make efforts to seek it through appropriate mechanisms; other processing requires an appropriate lawful basis. The separate Privacy Notice and Cookie Policy help explain actual processing, providers and purposes, relevant retention periods, international transfers, visitor choices and rights, including applicable rights to object to direct marketing.
10. Updates, severability and general terms
10.1 We may amend these Terms from time to time by posting an updated version on the Website. Changes take effect when posted and apply prospectively to subsequent Website use. You should review the current version when using the Website.
10.2 If any provision is invalid or unenforceable, the remaining provisions shall continue in effect. A provision may be construed or severed to the minimum extent lawfully permissible, but nothing requires a court to rewrite an unlawful term.
10.3 Failure to exercise a right does not constitute a waiver. These Terms do not create a partnership, agency or joint venture. Except as expressly provided, no third party acquires rights to enforce them under the Contracts (Rights of Third Parties) Act 1999.
10.4 These Terms and the legal notices expressly applicable to Website use constitute the agreement governing access to the Website only. No provision in them overrides a separately concluded contract, purchase order, quality agreement, confidentiality agreement or other binding commercial arrangement. A Privacy Notice or Cookie Policy describes data-processing and technology practices but does not, merely by reference, turn any otherwise necessary consent into a contractual acceptance.
11. Governing law and jurisdiction
11.1 These Terms of Use, their subject matter and formation, and any dispute or claim arising out of or in connection with them, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of England and Wales, subject to any overriding mandatory laws.
11.2 Subject to any mandatory legal rights or jurisdictional requirements that cannot lawfully be excluded, the parties agree that the courts of England and Wales shall have exclusive jurisdiction to determine any dispute or claim arising out of or in connection with these Terms or the use of the Website.
11.3 Nothing in this provision shall prevent Kew Health & Beauty Limited from seeking recognition or enforcement of a judgment obtained from the courts of England and Wales in any other jurisdiction, or from seeking interim, protective or conservatory relief in any competent court where legally available. Such steps do not permit re-litigation of the substantive dispute in a different court.
11.4 Nothing in these Terms shall deprive a person acting as a consumer of mandatory rights or protections, including rights relating to jurisdiction, which cannot lawfully be excluded or restricted.
